These Terms of Service (“Terms”) govern your access to and use of the Pentix Games website, online store, and any related services operated by Pentix Games LLC (“Pentix Games,” “Pentix,” “we,” “us,” or “our”).

By accessing or using our website, placing an order, creating an account, submitting information, or otherwise using any service provided by Pentix Games, you agree to be legally bound by these Terms, our Privacy Policy, and any other policies or terms incorporated into these Terms.

If you do not agree to these Terms, you may not access or use our Services.

1. ELIGIBILITY AND ACCOUNT RESPONSIBILITY

You must be at least the age of majority in the jurisdiction in which you reside to enter into a legally binding agreement with Pentix Games.

If a parent or legal guardian permits a minor to access or use our Services, that parent or legal guardian is responsible for the minor's conduct, compliance with these Terms, and any purchases made using the Services.

When creating an account or placing an order, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.

You may not sell, transfer, assign, or otherwise provide your account to another person without our prior written consent.

Pentix Games reserves the right to refuse service, restrict access, suspend accounts, or cancel orders where we reasonably believe that an account or transaction involves fraud, abuse, unlawful activity, policy violations, or conduct that may harm Pentix Games or its customers.

2. PRODUCTS AND PRODUCT INFORMATION

Pentix Games sells trading cards, sealed trading-card products, collectibles, accessories, and related merchandise.

We make reasonable efforts to ensure that product descriptions, photographs, prices, availability, and other information displayed on our website are accurate. However, errors may occasionally occur.

Product photographs may be representative images and may not depict the exact individual item, serial number, print run, manufacturing variation, or packaging received unless expressly stated otherwise.

Colors, images, dimensions, packaging, and other visual characteristics may appear differently depending on your device, monitor, browser, lighting, or other factors.

Manufacturers may change packaging, artwork, configurations, contents, labeling, or other product characteristics without notice. Pentix Games is not responsible for manufacturer changes that occur after product information has been published.

We reserve the right to modify product descriptions, discontinue products, limit quantities, or make other changes to our product offerings at any time.

3. TRADING CARD AND SEALED PRODUCT CONDITIONS

Because trading cards and collectible products are manufactured goods, minor imperfections may occur during manufacturing, packaging, transportation, or handling.

Unless a product listing expressly states otherwise, the purchase of a product does not constitute a guarantee of:

  • Perfect centering;

  • Gem Mint or grading-company eligibility;

  • Mint or Near Mint condition;

  • Absence of factory lines, print defects, whitening, edge wear, dents, scratches, or other manufacturing imperfections;

  • Specific card pulls;

  • Specific rarities;

  • Specific inserts, variants, or chase cards;

  • A particular market value;

  • Future appreciation or investment performance; or

  • Any particular grading result.

For sealed products, factory seals, shrink wrap, plastic, packaging, and other manufacturer-applied materials may contain minor imperfections that do not necessarily indicate tampering or damage.

Unless expressly stated otherwise in a product listing, minor imperfections to outer packaging, including dents, scratches, scuffs, creases, tears, shrink-wrap irregularities, or similar cosmetic issues, do not necessarily constitute a defect in the underlying product.

Pentix Games does not guarantee the contents or distribution of randomized products beyond the manufacturer's stated configuration.

Pentix Games is not responsible for manufacturer collation errors, printing defects, missing cards, incorrect cards, packaging defects, or other manufacturing issues that originate with the manufacturer. Where applicable, customers should pursue manufacturer-specific warranty or support procedures.

4. AUTHENTICITY

Pentix Games represents that products sold by Pentix Games are intended to be authentic products obtained through legitimate sources.

We do not knowingly sell counterfeit products.

Customers may not knowingly misrepresent authentic Pentix Games merchandise as counterfeit, altered, resealed, tampered with, or otherwise fraudulent for purposes of obtaining a refund, replacement, chargeback, insurance payment, or other financial benefit.

If you believe a product may be counterfeit, altered, tampered with, or materially inconsistent with its listing, you must contact Pentix Games promptly and provide reasonable supporting information, photographs, video, or other documentation when requested.

5. ORDERS AND ORDER ACCEPTANCE

Placing an order through our website constitutes an offer to purchase the products identified in your order.

An automated order confirmation does not necessarily constitute final acceptance of your order. Pentix Games reserves the right to accept, reject, modify, or cancel an order before shipment for legitimate reasons, including:

  • Product availability;

  • Inventory discrepancies;

  • Pricing or listing errors;

  • Payment authorization issues;

  • Suspected fraud or unauthorized payment;

  • Duplicate orders;

  • Abuse of promotions or discounts;

  • Unusually large or commercially unusual quantities;

  • Violations of these Terms;

  • Shipping or billing information discrepancies;

  • Technical errors;

  • Manufacturer or distributor allocation issues; or

  • Other circumstances where fulfilling the order would be impractical, unlawful, or materially inconsistent with the advertised transaction.

If we cancel an order after payment has been received, we will issue an appropriate refund to the original payment method, subject to applicable law.

Pentix Games will not cancel an otherwise valid, accepted order solely because the market value of the product subsequently increases.

Similarly, customers may not cancel an otherwise valid, accepted order solely because the market value of the product subsequently decreases, except as otherwise permitted by our Refund Policy or applicable law.

6. PRICING AND PRICING ERRORS

Prices displayed on our website are subject to change.

Unless otherwise stated, the price charged for an accepted order is the price displayed at checkout at the time the order is placed, subject to correction of obvious pricing or listing errors.

Occasionally, products may be listed at an incorrect price because of typographical errors, technical problems, inventory system errors, third-party data errors, or other mistakes.

If we discover a material pricing error before shipment, we reserve the right to cancel the affected order and issue a full refund.

Where required by law, Pentix Games will honor applicable obligations arising from an advertised price or accepted transaction.

Promotional codes, discounts, sales, and other offers may be subject to additional terms and may not be combined unless expressly stated.

7. PAYMENT AND BILLING

You agree to provide accurate and complete billing, payment, shipping, and contact information.

By submitting payment information, you represent that:

  1. The payment information provided is accurate;

  2. You are authorized to use the payment method;

  3. You authorize Pentix Games and its payment processors to charge the applicable purchase amount; and

  4. The transaction is legitimate and authorized by you.

Pentix Games may use third-party payment processors to process transactions. Payment processors may have their own terms and policies.

We reserve the right to request additional information or verification before completing high-value or unusual transactions.

If payment is reversed, declined, disputed, or otherwise not successfully received by Pentix Games, you remain responsible for amounts properly owed to Pentix Games, subject to applicable law.

8. FRAUD, PAYMENT DISPUTES, AND CHARGEBACKS

You agree not to initiate a fraudulent, deceptive, or unauthorized payment dispute or chargeback.

Examples of prohibited conduct include knowingly claiming that:

  • An order was never placed when it was authorized by you;

  • A product was not received when tracking or other evidence establishes delivery;

  • A product was counterfeit when it is authentic;

  • A product was materially different from its listing when it was not;

  • A transaction was unauthorized when you authorized the transaction; or

  • A refund was not issued when evidence establishes that the refund was properly processed.

Before initiating a payment dispute, customers are encouraged to contact Pentix Games so that we may investigate and attempt to resolve the issue.

Nothing in this section limits any rights you may have under applicable law or your payment provider's applicable dispute procedures.

Pentix Games reserves the right to provide payment processors, banks, card networks, and other relevant parties with documentation relating to an order, including order information, tracking information, communications, photographs, delivery records, and other transaction records when responding to a payment dispute.

9. SHIPPING AND DELIVERY

Shipping options and estimated delivery times are displayed during checkout or otherwise communicated to the customer.

Shipping and delivery estimates are estimates unless Pentix Games expressly guarantees a specific delivery date.

Pentix Games is not responsible for delays caused by circumstances outside our reasonable control, including carrier delays, weather, natural disasters, customs processing, governmental actions, transportation disruptions, labor disruptions, or other events beyond our reasonable control.

If Pentix Games cannot ship an order within the timeframe represented to the customer, Pentix Games will provide any notices, cancellation options, refunds, or other remedies required by applicable law.

For orders without a stated shipping timeframe, Pentix Games will comply with applicable federal and state requirements concerning shipment delays and cancellations. Federal law generally requires online sellers to have a reasonable basis for advertised shipping times and imposes additional requirements when an order cannot be shipped within the applicable timeframe.

Once an order has been shipped, customers are responsible for monitoring the tracking information provided.

10. INCORRECT SHIPPING ADDRESSES

Customers are responsible for providing accurate shipping information.

If an order is shipped to an address incorrectly provided by the customer, Pentix Games may, at its discretion, attempt to recover or redirect the package. Additional shipping charges may apply.

If a package is returned to Pentix Games because of an incorrect, incomplete, or undeliverable address, Pentix Games may contact the customer to arrange reshipment.

Pentix Games may deduct reasonable additional shipping costs or other costs directly resulting from an incorrect address to the extent permitted by law and our applicable Refund Policy.

11. DELIVERED, LOST, STOLEN, OR DAMAGED PACKAGES

If tracking indicates that an order has been delivered, customers should first check the delivery location, mailbox, parcel locker, household members, building management, and surrounding areas and contact the carrier when appropriate.

For high-value orders, Pentix Games may require a signature upon delivery.

Pentix Games may investigate claims involving packages reported as lost, stolen, missing, or damaged.

Customers may be required to provide photographs, carrier documentation, police reports, video surveillance, or other reasonable evidence depending on the circumstances.

Pentix Games does not guarantee reimbursement for packages stolen after confirmed delivery.

Nothing in this section limits any rights or remedies provided by applicable law.

12. INTERNATIONAL ORDERS

Customers ordering products for delivery outside the United States are responsible for ensuring that the products may lawfully be imported into the destination country.

Customers are responsible for applicable customs duties, import taxes, brokerage fees, VAT, or other governmental charges unless Pentix Games expressly states otherwise.

Pentix Games is not responsible for delays caused by customs authorities or for packages refused or seized by governmental authorities due to import restrictions, to the extent permitted by applicable law.

13. RETURNS, REFUNDS, AND EXCHANGES

Returns, refunds, exchanges, and cancellations are governed by Pentix Games' current Refund and Return Policy, which is incorporated into these Terms by reference.

Customers should review the Refund and Return Policy before purchasing.

Nothing in these Terms eliminates or restricts any non-waivable rights or remedies provided by applicable law.

Pentix Games reserves the right to investigate suspected fraudulent or abusive return activity.

14. PREORDERS AND ALLOCATED PRODUCTS

For preorder products, the expected release date is provided for informational purposes and may change due to manufacturer, distributor, transportation, allocation, or other circumstances.

A preorder does not guarantee that the manufacturer or distributor will provide Pentix Games with the exact quantity originally expected.

If Pentix Games cannot fulfill a preorder, we will provide the customer with the applicable cancellation or refund required by law and our policies.

Pentix Games will not represent an estimated release date as guaranteed unless expressly stated.

15. QUANTITY LIMITATIONS AND BULK ORDERS

Pentix Games may limit the quantity of a product that may be purchased by a customer, household, account, payment method, shipping address, or other related purchasing group.

Quantity limits may apply even when multiple orders are placed separately.

Pentix Games may cancel or modify orders that appear to circumvent quantity limits, promotional restrictions, purchase limits, or other restrictions.

Pentix Games may also impose reasonable limits on unusually large orders based on inventory availability, fraud-prevention concerns, distributor restrictions, or other legitimate business considerations.

16. COMMERCIAL RESALE

Pentix Games does not generally prohibit customers from reselling products they lawfully purchase.

However, Pentix Games reserves the right to restrict or cancel transactions involving unusually large quantities, suspected automated purchasing, circumvention of purchase limits, fraudulent activity, abuse of promotions, or other conduct that materially interferes with our ability to provide products fairly to customers.

Nothing in these Terms creates a wholesale, distribution, dealership, or authorized-reseller relationship between Pentix Games and a customer unless expressly agreed to in writing.

17. INTELLECTUAL PROPERTY

The Pentix Games website and Services, including text, logos, graphics, photographs, videos, designs, layouts, trademarks, trade names, software, and other content, are owned by Pentix Games or its licensors and are protected by applicable intellectual-property laws.

Except as expressly permitted by Pentix Games, you may not:

  • Copy or reproduce website content;

  • Modify or create derivative works;

  • Republish website content;

  • Use Pentix Games branding commercially;

  • Scrape or systematically collect website content;

  • Reproduce product photographs for commercial purposes; or

  • Use Pentix Games intellectual property in a manner likely to cause confusion or imply affiliation.

All rights not expressly granted are reserved.

Third-party trademarks, including manufacturer and game-related trademarks, belong to their respective owners. Pentix Games does not claim ownership of third-party trademarks.

18. USER CONTENT, REVIEWS, AND FEEDBACK

If you submit reviews, photographs, videos, comments, suggestions, testimonials, or other content to Pentix Games (“User Content”), you represent that:

  • You own the content or have permission to submit it;

  • The content does not violate another person's rights;

  • The content is not fraudulent or misleading;

  • The content does not contain unlawful, defamatory, obscene, threatening, or malicious material; and

  • The content does not contain malware or other harmful code.

By submitting User Content, you grant Pentix Games a non-exclusive, worldwide, royalty-free license to use, reproduce, display, modify, distribute, and publish the User Content for purposes related to operating, marketing, promoting, and improving Pentix Games and its Services.

You retain ownership of your User Content.

Pentix Games may remove User Content that we reasonably believe violates these Terms, applicable law, or the rights of others.

19. PROHIBITED CONDUCT

You may not use the Services to:

  1. Violate any applicable law or regulation;

  2. Commit fraud or facilitate fraudulent activity;

  3. Impersonate another person or business;

  4. Submit false or misleading information;

  5. Interfere with the operation or security of the website;

  6. Introduce viruses, malware, or other harmful code;

  7. Scrape, crawl, spider, or systematically collect website data without permission;

  8. Attempt to gain unauthorized access to accounts or systems;

  9. Circumvent purchase limits or promotional restrictions;

  10. Use bots or automated systems to purchase products unless expressly authorized;

  11. Abuse refunds, returns, promotions, or payment disputes;

  12. Harass, threaten, or abuse Pentix Games employees, contractors, or customers; or

  13. Engage in conduct that materially interferes with another person's use of the Services.

Pentix Games may suspend or terminate access to the Services where we reasonably believe that a user has violated these Terms.

20. THIRD-PARTY SERVICES AND LINKS

Our Services may contain links to or integrations with third-party websites, applications, payment processors, shipping providers, social-media platforms, analytics providers, or other services.

Pentix Games does not control third-party services and is not responsible for their availability, content, policies, security, or practices.

Your use of third-party services may be subject to separate terms and privacy policies.

21. SHOPIFY

Pentix Games uses Shopify to operate and provide portions of our online store and Services.

Your purchase transaction is between you and Pentix Games. Shopify provides technology and infrastructure used by Pentix Games but is not the seller of the products purchased through our store.

Shopify's services may be subject to Shopify's own terms, policies, and privacy practices.

Nothing in these Terms is intended to impose obligations on Shopify beyond those imposed by applicable law or Shopify's agreements with Pentix Games.

22. PRIVACY

Your use of the Services is also subject to our Privacy Policy.

Our Privacy Policy explains how Pentix Games collects, uses, stores, and shares personal information.

By using the Services, you acknowledge that you have reviewed our Privacy Policy.

23. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

EXCEPT AS EXPRESSLY PROVIDED IN WRITING BY PENTIX GAMES OR REQUIRED BY APPLICABLE LAW, PENTIX GAMES DISCLAIMS WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, RELATING TO THE SERVICES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PENTIX GAMES DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE.

PENTIX GAMES DOES NOT WARRANT THAT ANY PRODUCT WILL ACHIEVE A PARTICULAR COLLECTOR, INVESTMENT, RESALE, OR GRADING VALUE.

PENTIX GAMES DOES NOT GUARANTEE FUTURE MARKET VALUE, PRICE APPRECIATION, INVESTMENT PERFORMANCE, OR PROFITABILITY OF ANY PRODUCT.

NOTHING IN THESE TERMS DISCLAIMS OR LIMITS A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED OR LIMITED.

24. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PENTIX GAMES LLC AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF BUSINESS OPPORTUNITY, OR OTHER ECONOMIC LOSS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PURCHASE OF PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PENTIX GAMES' TOTAL LIABILITY ARISING FROM A PARTICULAR TRANSACTION OR CLAIM WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO PENTIX GAMES FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

25. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Pentix Games LLC and its owners, officers, directors, employees, contractors, agents, affiliates, and service providers from claims, liabilities, damages, losses, costs, and reasonable attorneys' fees arising from:

  1. Your violation of these Terms;

  2. Your violation of applicable law;

  3. Your fraudulent or intentionally wrongful conduct;

  4. Your infringement of another person's intellectual-property or other rights; or

  5. Your misuse of the Services.

Pentix Games reserves the right to assume control of the defense of any matter subject to indemnification, and you agree to reasonably cooperate with such defense.

Nothing in this section requires you to indemnify Pentix Games for liability caused by Pentix Games' own conduct where such indemnification would be prohibited by applicable law.

26. FORCE MAJEURE

Pentix Games will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, severe weather, acts of government, war, terrorism, civil unrest, labor disputes, transportation interruptions, carrier disruptions, supply shortages, manufacturer delays, distributor delays, cyber incidents, utility failures, or other events beyond our reasonable control.

This section does not excuse Pentix Games from obligations that cannot legally be excused under applicable law.

27. TERMINATION

Pentix Games may suspend or terminate your access to the Services at any time where permitted by law, including where we reasonably believe that you have violated these Terms, engaged in fraud or abuse, or created a risk to Pentix Games or other customers.

Termination does not eliminate obligations that arose before termination.

Sections concerning intellectual property, User Content, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and any other provisions that by their nature should survive termination will survive termination.

28. GOVERNING LAW AND VENUE

These Terms and any dispute arising out of or relating to your use of the Services or purchase of products from Pentix Games will be governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except to the extent federal law or other applicable law requires otherwise.

To the extent permitted by applicable law, any court proceeding arising from or relating to these Terms or a transaction with Pentix Games shall be brought in a state or federal court located in the Michigan county in which Pentix Games maintains its principal place of business, and you consent to personal jurisdiction and venue in such courts.

Nothing in this section prevents a consumer from asserting rights in a court or forum where applicable law provides that the consumer may bring a claim.

29. DISPUTE RESOLUTION

Before filing a formal legal claim, you agree to contact Pentix Games and provide a reasonable opportunity to investigate and attempt to resolve the dispute.

Nothing in this section prevents either party from seeking emergency or equitable relief where necessary to protect intellectual property, confidential information, property, or other rights.

Nothing in this section limits any non-waivable rights provided by applicable law.

30. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

31. NO WAIVER

If Pentix Games does not immediately enforce a provision of these Terms, that does not constitute a waiver of our right to enforce that provision later.

Any waiver must be made in writing and signed by an authorized representative of Pentix Games to be effective.

32. ENTIRE AGREEMENT

These Terms, together with the policies expressly incorporated by reference, constitute the entire agreement between you and Pentix Games concerning your use of the Services and supersede prior or contemporaneous communications and agreements concerning the same subject matter.

If a specific product listing, promotion, preorder agreement, or other written transaction-specific term conflicts with these Terms, the transaction-specific term will control only with respect to that transaction.

33. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without Pentix Games' prior written consent.

Pentix Games may assign or transfer these Terms, in whole or in part, without your consent where permitted by law, including in connection with a merger, acquisition, reorganization, sale of assets, or sale of the business.

34. CHANGES TO THESE TERMS

Pentix Games may update these Terms from time to time.

The most current version will be posted on our website with the applicable effective date.

Material changes will be communicated in a manner required by applicable law.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

Changes will not retroactively modify rights or obligations relating to a transaction that occurred before the effective date unless permitted by law.
